1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and Prosperity Partners LLC ("Prosperity Partners," "we," "us," or "our"), governing your access to and use of the website located at prosperitypartners.io (the "Website") and all related services, including but not limited to trading education, market analysis, trade opportunity recommendations, consulting services, live trading sessions, and educational materials (collectively, the "Services").

By accessing the Website, enrolling in any of our programs, or using any of our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you do not agree to these Terms, you must not access or use our Website or Services.

2. Nature of Services

2.1 Educational and Informational Purpose

Prosperity Partners provides trading education, market analysis, trade opportunity recommendations, and consulting services. All Services are educational and informational in nature. Nothing provided through our Services constitutes personalized investment advice, a recommendation to buy or sell any security, or a solicitation of any kind.

2.2 Not a Registered Investment Advisor

Prosperity Partners is not registered or licensed by the Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), any state securities regulatory authority, or any other governing body as an investment advisor, broker-dealer, or financial planner. Our Services should not be relied upon as a substitute for consultation with a qualified, licensed financial professional.

2.3 No Client Fund Management

Prosperity Partners does not manage client funds, execute trades on behalf of clients, or exercise discretionary authority over any client accounts. All trading and investment decisions are made independently by you. You are solely responsible for your own trading activity, investment decisions, and financial outcomes.

2.4 Trade Opportunity Recommendations

Trade opportunity recommendations provided by Prosperity Partners are for educational and informational purposes only. They represent potential trade setups identified using our proprietary methodology and are not personalized to your individual financial circumstances, risk tolerance, or investment objectives. You are solely responsible for evaluating any trade opportunity and determining whether it is appropriate for you.

3. Eligibility and Enrollment

3.1 Qualification Process

Prospective clients must complete a private consultation and qualification process before enrolling in our Services. Prosperity Partners reserves the sole and absolute right to accept or decline any applicant at our discretion. We limit enrollment to maintain our service standards and may restrict the number of new clients accepted per quarter.

3.2 Minimum Capital Requirement

Clients must have a minimum of $30,000 in liquid trading capital available to participate in our Services. This requirement exists because Direct Access Trading platforms require a minimum account balance for day trading privileges under applicable regulations.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during the consultation, enrollment, and qualification process. You agree to update such information as necessary to maintain its accuracy. Providing false or misleading information may result in termination of your access to our Services without refund.

4. Fees and Payment

4.1 Consulting Fees

Fees for our Services are disclosed during the consultation process and are due as specified in your individual enrollment agreement. All fees are in United States dollars unless otherwise stated.

4.2 Payment Processing

Payments are processed through third-party payment processors. By submitting payment, you authorize us and our payment processors to charge the applicable fees. You are responsible for any additional charges imposed by your bank or payment provider, including currency conversion fees.

4.3 No General Refund Policy

All sales are final unless otherwise specified in your enrollment agreement or as required by applicable law. Refunds, if any, are provided solely at the discretion of Prosperity Partners, except as outlined in the Hurdle Rate Guarantee described in Section 5.

5. Hurdle Rate Guarantee

5.1 Guarantee Terms

Prosperity Partners offers a hurdle rate guarantee related to the win rate of trade opportunity recommendations provided during the specified guarantee period. If the trade opportunities provided during your guarantee period do not maintain the minimum price target win rate threshold specified in your enrollment agreement (the "Hurdle Rate Benchmark"), Prosperity Partners will refund your full consulting fee.

5.2 Guarantee Limitations

This guarantee applies solely to the refund of the consulting fee. It does not guarantee profits, specific investment returns, or freedom from trading losses. No trading system or methodology can guarantee profits or ensure freedom from losses. Your individual trading results may vary significantly from the results of the trade opportunities provided due to factors including, but not limited to, execution timing, slippage, commissions, position sizing, and individual decision-making.

5.3 Conditions

The Hurdle Rate Guarantee is subject to the specific terms, conditions, and limitations outlined in your individual enrollment agreement, which may include requirements regarding minimum participation, completion of onboarding, and adherence to program guidelines.

6. Risk Disclosure and Acknowledgment

6.1 Trading Risk

Trading and investing in securities, including small-cap stocks, involves substantial risk of financial loss, including the potential loss of your entire investment. Past performance of any trading methodology, system, or strategy is not indicative of future results. You should only trade with capital that you can afford to lose entirely without affecting your lifestyle, financial security, or ability to meet your financial obligations.

6.2 Small-Cap Securities Risk

Our Services focus on small-cap securities (companies with market capitalizations under $100 million). Small-cap securities involve unique and heightened risks, including:

Limited liquidity, making it difficult to buy or sell shares at desired prices or in desired quantities.
Higher price volatility compared to larger, more established companies.
Limited publicly available information about the company.
Greater susceptibility to market manipulation.
Potential for significant and rapid price declines with little or no warning.

6.3 No Guarantee of Results

We make no representations, warranties, or guarantees regarding the profitability of any trade, strategy, or approach. Any performance metrics, including win rates, average returns, and historical results, reflect past performance only and should not be interpreted as a promise, projection, or guarantee of future performance. Individual results will vary based on numerous factors including skill level, discipline, risk tolerance, capital allocation, market conditions, and adherence to the trading methodology.

6.4 Your Acknowledgment

By using our Services, you acknowledge and agree that: (a) you understand the risks of trading in securities, including small-cap stocks; (b) you are solely responsible for your own trading decisions and financial outcomes; (c) Prosperity Partners is not responsible for any losses you may incur; and (d) you will not trade with funds you cannot afford to lose.

7. Intellectual Property

7.1 Ownership

All content, materials, methodologies, trade opportunity recommendations, educational resources, software, algorithms, proprietary trading systems (including the Prosperity Profit System), branding, trademarks, logos, and other intellectual property provided through our Website and Services are the exclusive property of Prosperity Partners or its licensors and are protected by applicable intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Website and Services for your personal, non-commercial educational purposes only. This license does not include the right to reproduce, distribute, modify, publicly display, or create derivative works from any content or materials.

7.3 Restrictions

You agree not to:

Copy, reproduce, redistribute, publish, or make available any content, trade recommendations, or educational materials to any third party.
Record, screenshot, or capture any live trading sessions, educational presentations, or consulting calls without prior written consent.

Share account credentials or allow any third party to access our Services through your account.

9. User Conduct

Engage in any conduct that is fraudulent, deceptive, misleading, or harmful.

You agree to indemnify, defend, and hold harmless Prosperity Partners LLC, its managers, members, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Website or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your trading or investment decisions and outcomes; (e) any content or information you submit or transmit through our Services; or (f) your infringement of any intellectual property or other rights of any third party.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSPERITY PARTNERS LLC, ITS MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF TRADING CAPITAL, LOSS OF INVESTMENT OPPORTUNITIES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR WEBSITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO PROSPERITY PARTNERS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

14. Termination

We reserve the right to suspend or terminate your access to our Website and Services at any time, with or without cause and with or without notice, including but not limited to situations where you breach these Terms, engage in conduct harmful to other clients or our business, or fail to meet eligibility requirements.

14.2 Termination by You

You may discontinue your use of our Services at any time by providing written notice to us. Termination by you does not entitle you to a refund of any fees previously paid, except as may be specified in your individual enrollment agreement.

14.3 Effect of Termination

Upon termination, your right to access and use our Services will cease immediately. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property rights, indemnification, limitation of liability, disclaimer of warranties, confidentiality, and governing law.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language and the decision of the arbitrator shall be final and binding.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16. Miscellaneous Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any individual enrollment agreement, constitute the entire agreement between you and Prosperity Partners regarding your use of our Website and Services, and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure. We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, market disruptions, exchange outages, internet or telecommunications failures, pandemics, or other force majeure events.

Notices. Any notices required or permitted under these Terms shall be in writing and sent to CONTACT@prosperitypartners.io. We may provide notices to you via the email address associated with your account.

Amendments. We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where appropriate, by email or notice on our Website. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.
